Please read these Terms of Use carefully before using Yaadri. By using our app, you agree to be bound by these terms.

1. Agreement to Terms

By downloading, installing, or using Yaadri mobile application ("App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Yaadri ("we," "us," or "our"). We reserve the right to modify these Terms at any time, and your continued use of the App constitutes acceptance of any changes.

2. Description of Service

Yaadri is a task management application designed to help users organize their daily tasks, manage bills, track important dates, and set reminders. The App provides the following features:

• Create and manage to-do lists
• Track bills and payment dates (including scanning from Gmail with permission)
• Sync and track events from your device's Google Calendar
• Set reminders for tasks and important dates
• Organize tasks with categories and priorities
• Securely store data in our virtual database

We reserve the right to modify, suspend, or discontinue any feature or aspect of the App at any time without prior notice.

3. User Eligibility

You must be at least 13 years of age to use Yaadri. By using the App, you represent and warrant that:

• You are at least 13 years old
• You have the legal capacity to enter into these Terms
• You will use the App in compliance with all applicable laws and regulations
• All information you provide is accurate and current

4. User Accounts and Registration

While Yaadri can be used without creating an account, certain features may require registration. You may register using your email or via social media accounts (Google, Facebook). If you create an account, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account
• Not share your account with others

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

5. User Conduct and Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Use the App for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the App or its systems
• Interfere with or disrupt the App's functionality
• Reverse engineer, decompile, or disassemble the App
• Remove or modify any copyright, trademark, or proprietary notices
• Use the App to transmit viruses, malware, or harmful code
• Attempt to scrape or collect data from the App using automated means
• Impersonate others or provide false information
• Use the App to harass, abuse, or harm others
• Violate any applicable laws or regulations

6. Intellectual Property Rights

The App and all its content, features, and functionality, including but not limited to software, text, graphics, logos, icons, images, and design, are owned by Yaadri and are protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes. This license does not include:

• Modification or copying of the App's materials
• Commercial use of the App or its contents
• Removal of copyright or proprietary notations
• Transfer of materials to another person or server

7. User Content

"User Content" refers to any data, information, tasks, notes, or other content you create, upload, or store within the App, including data accessed from third-party services (such as Gmail or Google Calendar) with your permission. You retain all ownership rights to your User Content.

By using the App, you grant Yaadri a limited license to:

• Store and process your User Content to provide the App's services
• Back up your User Content (if backup features are enabled)
• Use aggregated, anonymized data for analytics and improvements

You are solely responsible for your User Content and represent that:

• You own or have the necessary rights to the content
• Your content does not violate any laws or third-party rights
• Your content is not harmful, offensive, or inappropriate

8. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.

9. Free Service and Future Pricing

Yaadri is currently provided free of charge. However, we reserve the right to:

• Offer in-app purchases for additional functionality
• Modify or discontinue free features with reasonable notice

Any changes to pricing will be communicated to users in advance, and continued use after such changes constitutes acceptance of the new terms.

10. Disclaimers and Limitations of Liability

10.1 "AS IS" Basis

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Guarantee of Accuracy

While we strive to provide accurate and reliable service, we do not guarantee that:

• The App will be error-free or uninterrupted
• Reminders and notifications will always be delivered on time
• Data will not be lost or corrupted
• The App will meet your specific requirements

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YAADRI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE PAST TWELVE MONTHS (WHICH MAY BE ZERO FOR FREE USERS).

11. Indemnification

You agree to indemnify, defend, and hold harmless Yaadri and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or related to:

• Your use or misuse of the App
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

12. Third-Party Services and Links

The App may contain links to third-party websites or services that are not owned or controlled by Yaadri. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services.

You acknowledge and agree that Yaadri shall not be liable for any damage or loss caused by your use of any third-party services.

13. Updates and Modifications

We may provide updates, patches, or new versions of the App from time to time. These updates may:

• Add new features or functionality
• Fix bugs or security vulnerabilities
• Improve performance and stability
• Modify or remove existing features

You agree to accept such updates, and continued use of the App after an update constitutes acceptance of any changes to these Terms.

14. Termination

We reserve the right to suspend or terminate your access to the App at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Extended periods of inactivity
• Requests by law enforcement or government agencies

You may terminate your use of the App at any time by uninstalling it from your device. Upon termination:

• Your right to use the App will immediately cease
• You should delete all copies of the App from your devices
• Provisions that by their nature should survive termination will continue to apply

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Yaadri operates, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the App shall be resolved through:

1. Informal Resolution: Contact us first to attempt to resolve the issue informally
2. Mediation: If informal resolution fails, parties agree to attempt mediation
3. Arbitration: Binding arbitration as a final resort, if applicable by law

16. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed from these Terms and shall not affect the validity and enforceability of the remaining provisions.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Yaadri regarding the use of the App and supersede all prior agreements and understandings, whether written or oral.

BY USING YAADRI, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE APP.
